Pondenet Template License Agreement
This Template License Agreement (the "Agreement") is made between Pondenet ("Licensor") and the customer ("Licensee") who purchases the hotspot website login page HTML template (the "Template"). By purchasing, downloading, or using the Template, Licensee agrees to be bound by the terms and conditions of this Agreement.
1. License Grant
Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Template solely for Licensee's personal or internal business purposes. Licensee may use the Template in the development of a single website.
2. Restrictions
- Licensee may not sell, resell, distribute, or otherwise transfer for value the Template or any derivative works thereof without the prior written consent of Licensor.
- Licensee may not modify the Template for the purpose of resale or distribution as a competing product.
- Licensee may not share, distribute, or make the Template available to any third party except as part of a single website project.
- Licensee may not remove any proprietary notices or labels on the Template.
3. Ownership
The Template is licensed, not sold. Licensor retains all right, title, and interest, including all intellectual property rights, in and to the Template and any copies thereof.
4. Permitted Uses
Licensee is permitted to:
- Customize and modify the Template to fit the needs of a single website project.
- Use the Template as part of a commercial or non-commercial website, provided the Template itself is not resold or redistributed.
5. Support and Updates
Licensor may provide updates, upgrades, or support for the Template at its discretion. Any such updates or upgrades will be subject to the terms of this Agreement unless otherwise specified by Licensor.
6. Termination
This Agreement is effective until terminated. Licensee's rights under this Agreement will terminate automatically without notice from Licensor if Licensee fails to comply with any term(s) of this Agreement. Upon termination, Licensee must cease all use of the Template and destroy all copies, full or partial, of the Template.
7. Disclaimer of Warranties
The Template is provided "AS IS" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement. In no event shall Licensor be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the Template or the use or other dealings in the Template.
8. Limitation of Liability
In no event shall Licensor's liability exceed the amount paid by Licensee for the Template.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is located, without regard to its conflict of law principles.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the use of the Template and supersedes all prior or contemporaneous understandings regarding such subject matter.
By purchasing and using the Template, Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
